Job Summary
We are seeking a highly driven and commercially astute Associate to join our Mergers & Acquisitions (M&A) Practice. The successful candidate will advise clients on complex domestic and cross-border transactions, including mergers, acquisitions, divestitures, joint ventures, corporate restructurings, and strategic investments. This role offers the opportunity to work closely with leading businesses, investors, financial institutions, and multinational corporations on high-value transactions across various industries.
Job Details
- Advise clients on mergers, acquisitions, disposals, joint ventures, corporate reorganizations, and other strategic transactions.
- Conduct and coordinate legal due diligence exercises, identifying key legal, regulatory, and commercial risks.
- Draft, review, and negotiate transaction documents, including share purchase agreements, asset purchase agreements, shareholders' agreements, investment agreements, and ancillary transaction documents.
- Assist in structuring transactions to achieve clients' commercial objectives while ensuring legal and regulatory compliance.
- Coordinate transaction processes with clients, regulators, financial advisers, and other stakeholders.
- Prepare legal opinions, transaction reports, board resolutions, and corporate documentation.
- Advise on corporate governance, regulatory approvals, and post-transaction integration matters.
- Conduct legal research and provide strategic advice on corporate and commercial law issues affecting transactions.
- Monitor developments in corporate, competition, securities, and investment laws relevant to M&A transactions.
- Participate in client pitches, business development initiatives, and thought leadership activities within the practice group.
Requirements
- LL.B degree from a recognized university and qualification to practice law.
- 3–5 years of post-qualification experience in M&A, corporate/commercial law, private equity, capital markets, or related transactional practice.
- Strong drafting, negotiation, and legal research skills.
- Experience conducting legal due diligence and managing transaction workstreams.
- Excellent analytical, organizational, and project management abilities.
- Strong commercial awareness and understanding of corporate transactions.
- Excellent written and verbal communication skills.
- Proficiency in Microsoft Office Suite and legal research platforms.
- Strong business and financial acumen.
- Ability to manage multiple transactions simultaneously and work under tight deadlines.
- Attention to detail and commitment to delivering high quality work.
- Ability to work independently while collaborating effectively within a team environment.
- Problem solving mindset with a practical approach to complex legal issues.
